IBM and GlobalFoundries in late October
\nannounced an agreement under which
\nGlobalFoundries plans to acquire IBM’s
\nglobal commercial semiconductor technology
\nbusiness, including intellectual
\nproperty, technologists and technologies
\nrelated to IBM Microelectronics, subject
\nto completion of applicable regulatory
\nreviews.<\/p>\n

IBM is paying $1.5 billion to GlobalFoundries in order to get rid of its chip
\ndivision.<\/p>\n

GlobalFoundries will also become IBM’s
\nexclusive server processor semiconductor
\ntechnology provider for 22 nanometer
\n(nm), 14nm and 10nm semiconductors for
\nthe next 10 years, IBM officials said in a
\nnews release.
\nThe agreement, once closed, enables
\nIBM to further focus on fundamental semiconductor
\nresearch and the development
\nof future cloud, mobile, big data analytics,
\nand secure transaction-optimized systems,
\nthe company said. IBM continues its previously
\nannounced $3 billion investment
\nover five years for semiconductor technology
\nresearch to lead in the next generation
\nof computing.<\/p>\n

Officials said GlobalFoundries will
\nhave primary access to the research that
\nresults from this investment through joint
\ncollaboration at the Colleges of Nanoscale
\nScience and Engineering, SUNY Polytechnic
\nInstitute in Albany.<\/p>\n

As part of this agreement, GlobalFoundries
\nwill gain substantial intellectual
\nproperty including thousands of patents,
\nmaking GlobalFoundries the holder of one
\nof the largest semiconductor patent portfolios
\nin the world. Officials said GlobalFoundries also will benefit from an influx
\nof one of the best technical teams in the
\nsemiconductor industry, which will solidify
\nits path to advanced process geometries at
\n10nm and below.<\/p>\n

Additionally, the acquisition opens up
\nbusiness opportunities in industry-leading
\nradio frequency (RF) and specialty technologies
\nand ASIC design capabilities,
\nsaid IBM.<\/p>\n

“This acquisition solidifies GlobalFoundries’ leadership position in semiconductor
\ntechnology development and
\nmanufacturing,” said Dr. Sanjay Jha,
\nCEO of GlobalFoundries. “We can now
\noffer our customers a broader range of
\ndifferentiated leading-edge 3D transistor
\nand RF technologies, and we will also improve
\nour design ecosystem to accelerate
\ntime-to-revenue for our customers. This
\nacquisition further strengthens advanced
\nmanufacturing in the United States, and
\nbuilds on established relationships in New
\nYork and Vermont.”<\/p>\n

“The agreement expands our longstanding
\ncollaboration, which began when GlobalFoundries
\nwas created in 2009, and reflects
\nour confidence in GlobalFoundries’
\ncapability,” said IBM Senior Vice President
\nand Director of Research Dr. John E. Kelly
\nIII. “This acquisition enables IBM to focus
\non fundamental semiconductor and
\nmaterial science research, development
\ncapabilities and expertise in high-value
\nsystems, with GlobalFoundries’ leadership
\nin advanced technology manufacturing at
\nscale and commitment to delivering future
\nsemiconductor technologies. We are grateful
\nfor the leadership and investments by
\nthe states of New York and Vermont in
\nsupporting the semiconductor industry.”<\/p>\n

According to the companies, the acquisition
\nbolsters semiconductor manufacturing
\nand technology development in the
\nUnited States. GlobalFoundries has capital
\nexpenditure plans of approximately $10
\nbillion in 2014-2015, with the majority being
\ninvested in New York. GlobalFoundries
\nhas created nearly 3,000 direct jobs in New
\nYork and thousands more indirect jobs in
\nthe United States since 2009.<\/p>\n

GlobalFoundries will acquire and
\noperate existing IBM semiconductor
\nmanufacturing operations and facilities
\nin East Fishkill, N.Y., and Essex Junction,
\nVt., adding capacity to serve its customers
\nand thousands of jobs to GlobalFoundries’
\nworkforce.<\/p>\n

GlobalFoundries said it plans to provide
\nemployment opportunities for substantially all IBM employees at the two facilities
\nwho are part of the transferred businesses,
\nexcept for a team of semiconductor
\nserver group employees who will remain
\nwith IBM. After the close of the transaction,
\nGlobalFoundries will be the largest
\nsemiconductor technology manufacturing
\nemployer in the Northeast.<\/p>\n

GlobalFoundries will also acquire IBM’s
\ncommercial microelectronics business,
\nwhich includes ASIC and specialty foundry,
\nmanufacturing and related operations and
\nsales. GlobalFoundries said it plans to
\ninvest to grow these businesses.<\/p>\n

IBM said it will reflect a pre-tax charge
\nof $4.7 billion in its financial results for the
\nthird quarter of 2014, which includes an
\nasset impairment, estimated costs to sell
\nthe IBM microelectronics business, and
\ncash consideration to GlobalFoundries.<\/p>\n

The cash consideration of $1.5 billion is
\nexpected to be paid to GlobalFoundries
\nby IBM over the next three years. The
\ncash consideration will be adjusted by
\nthe amount of working capital which is
\nestimated to be $200 million.<\/p>\n
